Terms of Service

1. Acceptance of these terms
These Terms of Service (“Terms”) govern your access to and use of PharmFlow (“PharmFlow”, the “Service”), a pharmacy management platform operated at pharmflow.io. By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a pharmacy or another organization, you represent that you have authority to bind that organization, and “you” means that organization.
You must be at least 18 years old to create an account. If you do not agree to these Terms, do not use the Service.
2. The Service
PharmFlow provides software for Canadian community pharmacies: prescription intake and lifecycle tracking, a patient pickup queue with QR-code and SMS check-in, inventory and wholesaler ordering tools, patient engagement notifications, and compliance workflows such as narcotic registers and audit logs.
PharmFlow is a workflow tool, not a clinical tool. It does not dispense medication, does not make clinical decisions, and does not replace the professional judgment of a pharmacist. The pharmacist of record remains solely responsible for every clinical and legal decision made in their practice.
3. Accounts and security
You are responsible for the accuracy of your account information and for keeping your credentials confidential. Activity under your account is your responsibility. Notify us promptly at hello@pharmflow.io if you suspect unauthorized access.
Each pharmacy account is a separate tenant. You may only access the tenant(s) you are authorized for.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, or in violation of pharmacy, privacy, or health-information laws that apply to you (including PHIPA and PIPA in British Columbia).
- Enter data about a person without the authority or consent required by law.
- Send unsolicited or marketing SMS messages through the Service, or text a patient who has not consented to SMS notifications.
- Probe, scan, or test the Service for vulnerabilities, interfere with its operation, or access another tenant’s data.
- Resell, sublicense, or republish the Service, or scrape it in bulk.
- Upload content that is infringing, deceptive, or malicious.
We may suspend or terminate access for a breach of this section.
5. Your data and content
You retain ownership of the data you enter into the Service, including patient records and prescription information (“Pharmacy Data”). You grant us a limited license to host, process, transmit, and display Pharmacy Data only as needed to operate the Service for you.
For patient personal information, your pharmacy is the custodian (under PHIPA) or the organization with control (under PIPA), and PharmFlow acts as your service provider. You are responsible for the lawfulness of the data you enter and for the consents required to collect and use it.
6. Third-party systems
The Service can connect to third-party systems — provincial pharmacy networks such as PharmaNet, insurance carriers and adjudicators, wholesalers, and messaging providers such as Twilio. We are not affiliated with those providers. Their availability, rules, and fees are outside our control, and a feature that depends on them may change or stop working when they change. We are not responsible for third-party suspensions, outages, or rejections of your transactions.
7. Automated and AI-assisted features
Some features — such as prescription scanning and OCR — use automated or AI-assisted processing. Output may be inaccurate or incomplete. You must review it before relying on it. Automated output never replaces a pharmacist’s review.
8. Fees and billing
Paid plans are billed as described on the pricing page or in your order. Fees are exclusive of taxes. We may change pricing with reasonable advance notice; changes apply from your next billing period. Refunds are provided at our discretion unless required by law.
9. Text messaging (SMS) terms
PharmFlow can send SMS notifications on your pharmacy’s behalf — for example check-in verification codes and ready-for-pickup notifications — only to recipients who have consented to receive texts.
- Consent: by providing a mobile number and agreeing to SMS notifications, a recipient consents to receive text messages from the pharmacy through PharmFlow. Consent is not a condition of purchase.
- Message frequency varies based on the recipient’s activity.
- Message and data rates may apply.
- Recipients can reply STOP at any time to opt out, and HELP for help.
- Wireless carriers are not liable for delayed or undelivered messages.
You are responsible for obtaining and recording each recipient’s consent before enabling SMS notifications to them, and for honouring opt-outs.
10. Intellectual property
The Service, including its software, design, and documentation, is owned by PharmFlow and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is active. No other rights are granted.
11. Disclaimer of warranties
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet any regulatory requirement for your specific practice.
12. Limitation of liability
To the fullest extent permitted by law, PharmFlow will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, lost goodwill, or damages arising from third-party systems or carrier behaviour.
Our total aggregate liability for any claim arising from the Service is limited to the greater of (a) the fees you paid us in the twelve months before the claim, or (b) CAD $100. Some jurisdictions do not allow these limits for certain claims; where that is true, the limits apply only to the extent the law permits.
13. Indemnification
You agree to indemnify and hold PharmFlow harmless from claims, losses, and expenses (including reasonable legal fees) arising from your Pharmacy Data, your misuse of the Service, your breach of these Terms, or your violation of any law or third-party right — including a claim that a message you sent lacked required consent.
14. Termination and suspension
You may stop using the Service and close your account at any time. We may suspend or terminate access immediately for a breach of these Terms, or with notice for any other reason. Sections that by their nature should survive termination (including data ownership, disclaimers, liability limits, and indemnification) survive.
15. Changes to the Service or these Terms
We may update the Service and these Terms from time to time. For a material change we will post the updated Terms here and update the “Last updated” date. Continued use after a change takes effect is acceptance of the new Terms.
16. Governing law and disputes
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in Vancouver, British Columbia have exclusive jurisdiction over disputes arising from these Terms or the Service, unless applicable law provides otherwise.
17. Miscellaneous
If a provision of these Terms is unenforceable, the rest remain in effect. These Terms are the entire agreement between you and PharmFlow about the Service. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale. A failure to enforce a provision is not a waiver. We are not liable for delays caused by events beyond our reasonable control.
